Terms of Service

1. Overview

AccurateCore is a SaaS platform for IT/Finance management, published by AccurateCore SAS, a simplified joint-stock company with a share capital of €1,000, registered with the Paris Trade and Companies Register under number 100 608 637, with registered offices at 20 Rue Drouot, 75009 Paris, France (hereinafter "AccurateCore" or "the Publisher").

These Terms of Service ("ToS") govern access to and use of the AccurateCore platform by any legal or natural person acting in a professional capacity (hereinafter "the Customer").

2. Acceptance

Accessing the platform constitutes full and unconditional acceptance of these ToS. The Customer acknowledges having the legal capacity to bind their organization.

3. Access to the Platform

Access to AccurateCore is granted by invitation only, following an exchange with our sales team. There is no self-service sign-up. The Publisher reserves the right to refuse or terminate any access at its discretion.

The Customer is responsible for the confidentiality of their users' login credentials and for all activity under their account.

4. Service Description

5. Subscription and Pricing

5.1 Available Plans

AccurateCore offers several subscription plans with pricing published at www.accuratecore.com. The Publisher reserves the right to modify pricing with 30 days' notice.

5.2 Monthly Subscription

The monthly subscription has no minimum commitment period. It renews automatically each month. The Customer may cancel at any time; cancellation takes effect at the end of the current monthly period, with no pro-rata refund.

5.3 Annual Subscription

The annual subscription represents a 12-month commitment. In exchange for this commitment, the Customer receives one month free (i.e., 11 months billed for 12 months of access).

At the end of the initial period, the annual subscription automatically renews for a new 12-month period, unless cancellation is sent in writing to contact@accuratecore.com at least 30 days before the renewal date.

5.4 Billing

Billing occurs at the beginning of each period (monthly or annual). Invoices are sent by email. Late payments will incur interest at the applicable statutory rate, plus a flat-rate recovery fee of €40, in accordance with applicable French commercial law.

6. Intellectual Property

The AccurateCore platform, its source code, interfaces, algorithms, and all associated documentation are the exclusive property of AccurateCore SAS and are protected by intellectual property law.

The Publisher grants the Customer a non-exclusive, non-transferable, revocable license to use the platform, strictly limited to the Customer's internal organizational use during the subscription period.

Data entered or imported by the Customer remains the exclusive property of the Customer. The Publisher makes no claim over such data.

7. Personal Data

Personal data processing is described in the Privacy Policy. With respect to business data imported by the Customer, AccurateCore acts as a data processor under the GDPR, and the Customer remains the data controller.

8. Service Availability

The Publisher endeavors to keep the platform available 24/7, targeting 99.5% monthly uptime (excluding planned maintenance). Scheduled maintenance will be communicated with reasonable advance notice where possible.

No guaranteed service level (SLA) is included in the Starter and Pro plans. Contractual SLAs are available under the Enterprise plan.

9. Limitation of Liability

AccurateCore SAS shall not be liable for indirect damages, loss of business, data loss, or loss of profit resulting from the use or inability to use the platform.

The Publisher's total liability, regardless of cause, is capped at the amounts actually paid by the Customer during the 12 months preceding the triggering event.

10. Changes to These Terms

The Publisher reserves the right to modify these ToS. The Customer will be notified of any material change by email with 30 days' notice. Continued use of the platform after this period constitutes acceptance of the new terms.

11. Termination

In the event of a material breach by the Customer (including non-payment, fraudulent use, or violation of intellectual property rights), the Publisher reserves the right to suspend or terminate access to the platform without notice and without refund.

Upon termination, for any reason, the Customer has 30 days to export their data. After this period, data may be deleted.

12. Governing Law and Jurisdiction

These ToS are governed by French law. In the event of a dispute, the parties will seek an amicable resolution first. Failing that, the Commercial Court of Paris shall have exclusive jurisdiction.
